1.1 Welcome to NeuCommunity platform (the "Site"). Please read the following Terms of Service carefully before using this Site or register as a Merchant ("Merchant") so that you are aware with all the obligations and your legal rights with respect to NeuXP, Inc. and its affiliates and subsidiaries ("NeuXP", "Us", "We" or "Our"). The Services that we provide include (a) the Site, (b) the services provided by the Site and by NeuXP client software made available and (c) all information, linked pages, features, data, text, images, graphics, video, content, software and application services or other materials made available ("Content"). Any new features, content or changes is subjected to these Terms of Services.

1.2 The Services include the online platform that provides a place for both buyer ("Buyer") and seller ("Seller) (collectively "you" or "Users"). The actual contract is directly between the Buyer and Seller which NeuXP has no obligations in connection to the contract. All transaction made is between the Buyer and Seller which need to be responsible on. NeuXP reserve the right to remove any Content provided by you.

1.3 Before becoming the Users of NeuXP, you must read, understand and accept all of the terms and conditions in and linked to these Terms of Service.

1.4 NeuXP reserve the right to refuse or provide access to you for any reason.

BY USING NEUXP SERVICES, YOU GIVE YOUR CONSENT TO THE TERMS OF THIS AGREEMENT, INCLUDING THOSE ADDITIONAL TERMS AND CONDITIONS AND POLICIES REFERENCED HEREIN AND/OR LINKED HERETO.

3.1 Any software or application provided by us to you are as part of the Services and is subjected to this Terms of Service.

4.1 You agree not to:​

(a) upload or post any Content that is unlawful, harmful, threatening, abusive, alarming, racially or anything that violate any laws;

(b) impersonate or manipulate others identity or entity;

​

(c) use the Service to benefit other third party;

​

(d) upload any Content that is false, misleading or deceptive;

​

(e) manipulate the listing made by others;

​

(f) list any items which infringe upon the copyright, trademark or other intellectual property rights.

5. THIRD PARTY SERVICES

5.1 This Site may include links to other sites, applications, and platforms ("Linked Sites"). NeuXP does not control the Linked Sites and shall not be responsible for the content and other materials of the Linked Sites. We makes these links available to you for providing the functionality or service on the Site.

6. SUBSCRIPTION TO THE SERVICE

6.1 Subject to you, as an Authorised User, compliance with the Terms of Service and the payment (if any), NeuXP hereby grants you and you accept a non-exclusive, non-transferable, sub-licensable and fully revocable subscription to access and use the Service. We may withhold, revoke or suspend your Subscription if you have found to breach the Terms of Service.

7. MARKETING

7.1 As a Merchant, you agree to be identified as a user and you agree that NeuXP may use your name, trade name, trademark or graphics, if applicable, and may briefly describe your business in NeuXP, its affiliate and subsidiaries.

8. CHANGE OF TERMS OF SERVICE

8.1 NeuXP may change the Terms of Service without any notices, either by notification, email or via the Website. You agree to review the Terms of Service periodically so that you are aware on any modifications. Your continued use after the modification indicates your acceptance towards the modified Terms of Service including other agreements, policies, rules and guidelines.
